LUXE XPRESS FULFILLMENT HUB TERMS & CONDITIONS

Effective Date: August 2026
Last Updated: August 2026

These Terms & Conditions govern services supplied by Luxe Xpress Fulfillment Hub (“LXFH,” “Fulfillment Hub,” “we,” “our,” or “us”) to businesses and other clients using our inventory storage, order preparation, pickup, delivery, payment collection, and related fulfillment services.

These Terms apply only to the Fulfillment Hub.

They do not govern personal shipping through Luxe Xpress Courier or retail purchases made through SoftLux Co. or the Luxe Xpress Shop.

1. Definitions

For these Terms:

Client means the business or individual that contracts with Luxe Xpress Fulfillment Hub.

Inventory means products or goods stored, received, or handled on behalf of a Client.

Customer means the Client's customer or intended recipient.

Order means a request submitted by the Client for inventory to be prepared, released, collected, delivered, or otherwise processed.

Fulfillment Services include inventory receiving, storage, order preparation, pick-and-pack, customer pickup, dispatch, delivery coordination, payment collection where offered, and related services.

2. Services

Depending on the Client's selected service or plan, LXFH may provide:

  • Inventory receiving
  • Inventory storage
  • Inventory records
  • Order preparation
  • Pick-and-pack
  • Packaging
  • Customer pickup
  • Delivery coordination
  • Dispatch to delivery partners
  • Customer notifications
  • Cash or payment collection where offered
  • Client payout processing
  • Returns handling where agreed
  • Related logistics support

Not every service is included in every plan.

The Client's selected plan, quotation, order, service schedule, or separate agreement determines the services included and applicable allowances.

3. Client Account and Onboarding

Clients must provide complete and accurate onboarding information requested by LXFH.

This may include:

  • Legal or trading name
  • Owner/contact information
  • Phone and email
  • Business address
  • TRN
  • Government-issued identification
  • Banking/payment details where required
  • Product information
  • Emergency contact
  • Other reasonable verification information

LXFH may refuse or suspend onboarding until required documents have been provided.

4. Separate Master Services Agreements

Some Clients may execute a separate Master Services Agreement (“MSA”), Client Information Form, quotation, statement of work, pricing schedule, or other written agreement with LXFH.

If a separately signed agreement conflicts with these online Terms, the signed agreement will prevail to the extent of the inconsistency, unless that agreement states otherwise.

These Terms continue to apply to matters not addressed by the separate agreement.

5. Inventory Ownership

Inventory stored at LXFH remains the property of the Client unless otherwise legally established.

LXFH does not acquire ownership of stored inventory merely by:

  • Receiving it
  • Recording it
  • Storing it
  • Packing it
  • Collecting payment for it
  • Releasing it to a customer

The Client is responsible for proving ownership where reasonably requested.

6. Inventory Receiving

Clients must provide accurate information concerning incoming inventory.

LXFH may record:

  • Item name
  • Product code
  • Quantity
  • Condition
  • Date received
  • Storage location
  • Other relevant information

Inventory counts recorded during intake should be reviewed by the Client promptly.

Any discrepancy should be reported within the period specified in the Client's agreement or, where none is specified, within a reasonable period after the inventory record becomes available.

7. Inventory Condition

LXFH may refuse goods that are:

  • Damaged
  • Leaking
  • Unsafe
  • Infested
  • Perishable without approval
  • Improperly packaged
  • Illegal
  • Prohibited
  • Unsuitable for the facility
  • materially different from what the Client previously disclosed

Pre-existing product damage or manufacturer defects remain the Client's responsibility.

8. Inventory Records

LXFH will make reasonable efforts to maintain accurate inventory records.

Digital inventory quantities are operational records and should be periodically reviewed by Clients.

Reasonable adjustments may be made where physical stock counts identify:

  • Intake discrepancies
  • Processing errors
  • Returns
  • Damaged items
  • Corrections
  • Other legitimate inventory changes

Clients should notify LXFH promptly of suspected discrepancies.

9. Storage

Storage allowances depend on the Client's plan or agreement.

Storage may be subject to:

  • Product-count limits
  • Space limitations
  • Bulky-item surcharges
  • Oversized-item charges
  • Restricted-storage requirements
  • Additional storage fees

A fulfillment allowance refers to the number of orders/packages that may be fulfilled under the relevant plan and does not necessarily determine the amount of inventory that may be stored.

Additional storage charges may apply where the Client exceeds the applicable allowance or where goods require unusual space or handling.

10. Client Drop-Offs and Deliveries to the Hub

Clients must arrange inventory deliveries during approved receiving periods unless otherwise agreed.

LXFH is not responsible for goods left:

  • Outside the facility
  • With unauthorized persons
  • Without proper identification
  • Outside agreed receiving procedures

Inventory is considered received by LXFH only after acceptance into our records or other confirmation by authorized staff.

11. Order Submission

Clients are responsible for submitting complete and accurate order instructions.

Required information may include:

  • Customer name
  • Phone number
  • Products
  • Quantities
  • Pickup or delivery method
  • Delivery address
  • Amount payable
  • Special instructions

LXFH is entitled to rely on the latest valid instructions submitted through the approved system or communication method.

12. Order Changes and Cancellations

Clients should submit corrections or cancellations before fulfillment begins.

Once an order has been:

  • Picked
  • Packed
  • Released
  • Dispatched
  • Assigned to a delivery provider

a cancellation or change may no longer be possible and applicable fulfillment or delivery charges may remain payable.

13. Pick-and-Pack

LXFH will prepare orders according to the information provided by the Client.

Standard fulfillment may include:

  • Identifying ordered products
  • Picking the appropriate quantity
  • Packaging the order
  • Labelling or preparing the package for pickup or dispatch

Special packaging, inserts, custom branding, gift wrapping, assembly, or other additional work may attract separate charges unless included in the Client's plan.

14. Client Packaging Materials

Where Clients provide:

  • Branded bags
  • Boxes
  • Stickers
  • Cards
  • Tissue paper
  • Inserts
  • Other materials

LXFH may store and use them according to the Client's instructions.

The Client is responsible for ensuring its materials are lawful, accurate, safe, and sufficient for intended use.

15. Customer Pickup

Where customer pickup is selected, LXFH may release orders to the named customer or authorized representative after reasonable verification.

Verification may include:

  • Name
  • Phone number
  • Order number
  • Identification
  • Collection code
  • Other reasonable verification method

Once an order is properly released to the customer or authorized collector, LXFH's custody of that order ends.

16. Delivery and Dispatch

Where delivery is requested, LXFH may:

  • Deliver directly
  • Arrange delivery
  • Use third-party couriers
  • Use other approved delivery partners

Delivery fees may be charged separately unless included in the selected plan.

Estimated delivery times are not guaranteed.

LXFH is not responsible for delays caused by delivery partners or events outside our reasonable control, but we will provide reasonable assistance with legitimate delivery issues.

17. Customer Information

Clients may provide LXFH with personal information belonging to their customers.

Clients warrant that they are authorized to provide that information for fulfillment purposes.

LXFH will use such information as reasonably necessary to:

  • Prepare orders
  • Communicate regarding pickup
  • Arrange delivery
  • Process payments
  • Confirm collection
  • Provide related fulfillment services

Personal information is otherwise handled in accordance with the Luxe Xpress Privacy Policy.

Jamaica's Data Protection Act requires organizations processing personal data to comply with standards governing lawful processing, purpose limitation, data minimization, security, retention, and data-subject rights.

18. Payments Collected From Customers

Where LXFH agrees to collect payments on behalf of a Client:

  • The Client must provide the correct amount to be collected.
  • LXFH may rely on the amount recorded in the fulfillment system.
  • Collected amounts may be reconciled before payout.
  • Applicable fees, reversals, shortages, refunds, or amounts owed to LXFH may be deducted where authorized by the applicable agreement.

LXFH is not responsible for losses arising solely from incorrect payment instructions supplied by the Client.

19. Client Payouts

Where payment collection and payout services are provided, payout timing will be governed by the Client's selected plan, signed agreement, or published policy.

Payout processing may be delayed where:

  • Banking information is incorrect
  • Transactions require reconciliation
  • Fraud is suspected
  • A dispute exists
  • Required documents are missing
  • A banking system or payment provider is unavailable

LXFH may require verification before changing payout details.

20. Pricing, Plans and Allowances

Current pricing, plan limits, fulfillment allowances, storage allowances, add-on charges, and other fees are stated in the Client's:

  • Plan selection
  • Quote
  • Website
  • Portal
  • Signed agreement
  • Invoice
  • Other official pricing communication

We intentionally do not hard-code plan prices into these Terms so that pricing changes do not require rewriting the legal agreement.

A plan may impose limits relating to:

  • Orders fulfilled
  • Stored inventory
  • Storage duration
  • Package size
  • Additional handling
  • Deliveries
  • Other service components

Excess usage may result in additional charges or require a plan upgrade.

21. Deposits

Where a security deposit is required, the amount, purpose, refund conditions, and permitted deductions will be stated in the applicable plan or agreement.

Deposits may be applied toward amounts legitimately owed by the Client where permitted by the applicable agreement.

Any refundable balance will be handled according to the agreed refund procedure after the Client's account is closed and outstanding obligations are resolved.

22. Additional Fees

Additional charges may apply for:

  • Bulky goods
  • Heavy goods
  • Oversized inventory
  • Special handling
  • Non-standard packaging
  • Excess storage
  • Excess fulfillment usage
  • Returns processing
  • Additional delivery attempts
  • Custom projects
  • Other services outside the selected plan

Where practical, the Client will be informed of additional charges before the related optional service is performed.

23. Client Product Responsibility

The Client is solely responsible for:

  • Product legality
  • Product quality
  • Product safety
  • Product labelling
  • Product claims
  • Product warranties
  • Required licences and permits
  • Consumer disclosures
  • Pricing
  • Taxes
  • Product authenticity
  • Intellectual-property rights
  • Compliance with laws applicable to the Client's goods

LXFH's handling of inventory does not constitute endorsement, certification, or warranty of the Client's products.

24. Prohibited and Restricted Inventory

LXFH may refuse goods that are illegal, dangerous, prohibited, unsafe, or inappropriate for storage or fulfillment.

Restricted goods may require prior written approval.

Clients must disclose relevant information regarding:

  • Hazardous materials
  • Flammable goods
  • Chemicals
  • Perishables
  • Controlled or regulated products
  • High-value goods
  • Other items requiring special handling

LXFH may remove, isolate, return, surrender, or refuse to handle goods that present an immediate legal, safety, or facility risk, subject to applicable law.

25. Returns

Returns are processed only where included in the Client's plan or agreed separately.

Unless LXFH caused the error, the Client is responsible for determining:

  • Whether a return is accepted
  • Whether a refund is due
  • Whether an exchange is allowed
  • Whether returned goods may be placed back into inventory

LXFH does not independently make those decisions for the Client.

26. Inventory Loss or Damage

LXFH will use reasonable care when handling Client inventory.

Clients should report suspected loss or damage promptly and provide supporting information.

LXFH is not responsible for:

  • Pre-existing damage
  • Manufacturer defects
  • Normal deterioration
  • Inadequate packaging supplied by the Client
  • Improper product storage instructions not disclosed to us
  • Force majeure
  • Loss caused by events outside our reasonable control

Where LXFH accepts responsibility for proven loss or damage, compensation will be subject to applicable law and any limits contained in a separately signed agreement.

27. Insurance

Clients are responsible for maintaining appropriate business, product, inventory, or other insurance unless LXFH expressly agrees to provide specific coverage.

Storage at the Fulfillment Hub does not automatically mean goods are insured for full retail value.

28. Unclaimed or Abandoned Inventory

When a Client terminates service, suspended operations, or stops paying required fees, the Client must arrange collection or transfer of remaining inventory within the timeframe communicated by LXFH.

Storage charges may continue until inventory is removed.

After reasonable notice and subject to applicable law, inventory remaining unclaimed for an extended period may be treated as abandoned and may be disposed of, returned, sold, or otherwise dealt with to recover unpaid amounts.

29. Suspension

LXFH may suspend service where reasonably necessary because of:

  • Non-payment
  • Expired plan
  • Excessive outstanding balances
  • Illegal inventory
  • Fraud
  • Safety concerns
  • Repeated policy violations
  • Abuse toward staff
  • Material breach of these Terms or a separate agreement

Suspension does not automatically cancel amounts already owed.

30. Termination

Either party may terminate the relationship subject to:

  • Any notice period in the selected plan or MSA
  • Payment of outstanding amounts
  • Removal of inventory
  • Completion or cancellation of open orders
  • Other agreed termination requirements

Certain provisions, including payment obligations, confidentiality, privacy, liability, dispute resolution, and rights relating to already completed transactions, survive termination.

31. Confidentiality

LXFH may receive confidential Client information including:

  • Pricing
  • Inventory
  • Customers
  • Sales information
  • Product information
  • Business processes

LXFH will take reasonable steps to protect confidential information and use it only as necessary to provide services, operate the business, comply with law, or enforce agreements.

Clients likewise agree not to misuse confidential LXFH operational or commercial information.

32. Intellectual Property

Each party retains ownership of its pre-existing intellectual property.

Clients grant LXFH permission to use product names, logos, labels, packaging instructions, and related materials as reasonably necessary to provide fulfillment services.

33. Limitation of Liability

To the fullest extent permitted by applicable law, neither party will be responsible to the other for indirect, special, incidental, or consequential losses solely arising from the services.

LXFH is not responsible for losses caused by inaccurate Client instructions, defective products, unlawful products, third-party delivery failures outside our reasonable control, or events of force majeure.

Nothing in these Terms excludes rights or liabilities that cannot legally be excluded. Jamaica's Consumer Protection Act establishes protections relating to the provision of goods and services.

Any specific liability cap contained in a separately signed MSA will apply where enforceable.

34. Indemnity

To the extent permitted by law, the Client is responsible for losses, claims, fines, expenses, or liabilities resulting from:

  • Illegal or unsafe products
  • Intellectual-property infringement
  • Misleading product claims
  • Product defects
  • Failure to obtain necessary licences
  • Incorrect customer data supplied by the Client
  • Instructions that violate law
  • Material breach of these Terms

This provision does not apply to the extent a loss was caused by LXFH's own legally established fault.

35. Force Majeure

LXFH is not responsible for delays or failures caused by events outside its reasonable control, including:

  • Hurricanes
  • Floods
  • Fires
  • Earthquakes
  • Power or telecommunications outages
  • Government restrictions
  • Civil disturbance
  • Public-health emergencies
  • Transport disruption
  • Severe weather
  • Other extraordinary events

36. Privacy

The Luxe Xpress Privacy Policy governs personal information processed through Fulfillment Hub services.

Where the Client provides customer personal information, both parties must comply with their respective obligations under applicable privacy and data-protection law.

The Jamaican OIC states that data controllers processing personal data must register and comply with the statutory data-protection standards.

37. Changes to Terms

These Terms may be updated periodically.

The latest version will be made available through the Luxe Xpress platform.

Where reasonably required, material changes may also be communicated electronically.

38. Governing Law and Disputes

These Terms are governed by the laws of Jamaica.

The Client and LXFH should first make reasonable efforts to resolve disputes directly.

If a dispute cannot be resolved, either party may pursue mediation or other remedies available through the courts or laws of Jamaica.

39. Severability

If any provision is held invalid or unenforceable, the remaining Terms continue in effect to the fullest extent permitted by law.

40. Entire Agreement

These Terms, together with the applicable:

  • MSA
  • Client Information Form
  • Pricing schedule
  • Plan
  • Quotation
  • Service order
  • Privacy Policy
  • Other incorporated written agreement

form the agreement governing the applicable Fulfillment Hub services.

Where there is a conflict, a separately signed agreement takes priority to the extent expressly stated above.
